Terms & Conditions
Purpose:
To define the legal agreement between Dplux Technologies LLC and individuals or entities (“Users”) accessing and using Quot Mini and Quot Enterprise. These terms govern the use of the Service, outline user responsibilities, and protect the rights and interests of Dplux Technologies LLC.
1.0 Introduction and Acceptance of Terms
1.1 Agreement: This document constitutes a legally binding agreement between you (“User” or “Client”) and Dplux Technologies LLC (“Quot,” “we,” “us,” or “our”).
1.2 Acceptance: By accessing or using Quot Mini, Quot Enterprise, or any related services, you signify your agreement to be bound by these Terms and Conditions. If you do not agree, you may not use the Service.
1.3 Definitions: Define “Service,” “User,” “Client,” “Content,” “Subscription,” “Quot Mini,” “Quot Enterprise,” “Effective Date,” “Intellectual Property Rights.”
2.0 Eligibility and User Accounts
2.1 Eligibility: Users must be of legal age (e.g., 18 years or older) and have the legal capacity to enter into contracts and operate a business in their jurisdiction.
2.2 Account Creation: Users must provide accurate, complete, and current registration information.
2.3 Account Security: Users are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. Notify the Quot team immediately of any unauthorized use.
2.4 Multiple Users: For Quot Mini and Enterprise, users may grant multiple staff access to their teams for role-based access control (RBAC), and responsibility for invited users.
3.0 Service Description and Scope
3.1 Quot Mini: Designed for micro and small businesses, primarily mobile-first, focusing on sales tracking, inventory, basic accounting, invoicing, and CRM.
3.2 Quot Enterprise: Designed for growing SMEs and mid-sized companies, web-based with advanced features including comprehensive HR/Payroll, multi-warehouse inventory, advanced procurement, deeper financial reporting, and API integrations.
3.3 Service Availability: While we strive for high availability, the Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.
4.0 Subscription, Pricing, and Payments
4.1 Pricing Plans: Here are the pricing plan breakdown for (Quot Mini), Enterprise (Quot Enterprise) plans as per our pricing page.
4.2 Free Trial: We offer a 30-day free trial for both Mini and Enterprise versions.
4.3 Billing: Quot Mini has only one pricing plan but has Quarterly, 6-month and annual billing cycles. While Enterprise has only the annual billing cycle. All our plans are billed in the Naira currency for Nigeria. More currencies will be rolled out as we expand. Payment methods accepted – Online payment (Card & Bank Transfers) via Paystack.
4.4 Auto-Renewal: Subscriptions auto-renew unless cancelled.
4.5 Price Changes: Quot reserves the right to modify pricing upon reasonable notice (e.g., 30 days).
4.6 Taxes: Users are responsible for all applicable taxes (e.g., VAT, WHT) associated with their subscription.
4.7 Refunds: We may offer a 30-day refund if you’re unhappy with our service. Refunds may not be approved for partial periods of use, or negligence on the user’s part or other specific conditions after investigations have been completed by the Revenue Team.
4.8 Payment Processors: Quot uses third-party payment processors – Paystack and their terms may also apply.
5.0 User Responsibilities and Conduct
5.1 Lawful Use: Users must use the Service in compliance with all applicable laws and regulations (e.g., CAMA, FIRS regulations, NDPA) and international laws.
5.2 Prohibited Conduct:
- Illegal activities, fraud, misrepresentation.
- Uploading malicious software, viruses, or harmful code.
- Interfering with the Service’s operation or security.
- Unauthorized access to other users’ data or Quot’s systems.
- Reverse engineering, decompiling, or disassembling the software.
- Spamming or sending unsolicited communications.
- Infringement of intellectual property rights.
5.3 Accuracy of Data: Users are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data and content they input into the Service.
5.4 Compliance: Users are responsible for their own business’s compliance with all relevant laws, including tax obligations (FIRS, LIRS, PAYE, NSITF, Pension Contributions) and data protection laws regarding their own customers/employees. Quot provides tools but does not offer legal, accounting, or financial advice.
6.0 Intellectual Property Rights
6.1 Quot’s IP: All rights, title, and interest in and to the Service (including software, design, text, graphics, logos, trademarks, and underlying technology) are and will remain the exclusive property of Dplux Technologies LLC.
6.2 User Content: Users retain ownership of all data and content they upload or create within the Service. You grant Quot a worldwide, non-exclusive, royalty-free license to use, process, and display your data solely for the purpose of providing and improving the Service.
6.3 Feedback: Any feedback, suggestions, or ideas provided by users may be used by Quot without compensation or obligation.
7.0 Disclaimers and Warranties
7.1 “As Is” Basis: The Service is provided “as is” and “as available,” without warranties of any kind, either express or implied.
7.2 No Warranties: Quot disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.3 No Guarantee of Uptime: While we strive for high availability, we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.
7.4 No Legal/Financial Advice: Quot does not provide legal, accounting, tax, or financial advice. Users are responsible for consulting with qualified professionals for such advice.
8.0 Limitation of Liability
8.1 General Limitation: To the maximum extent permitted by applicable law, in no event shall Dplux Technologies LLC, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
8.2 Cap on Liability: In no event shall Quot’s total aggregate liability to you for all damages, losses, and causes of action exceed the amount paid by you to Quot for the Service in the twelve (12) months preceding the claim.
8.3 Force Majeure: Quot is not liable for any failure or delay in performance due to circumstances beyond its reasonable control (e.g., natural disasters, government acts, internet outages).
9.0 Indemnification
Users agree to indemnify, defend, and hold harmless Dplux Technologies LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any rights of a third party, including intellectual property rights or privacy rights.
- Any data or content you submit or transmit through the Service.
10.0 Termination
10.1 Termination by User: Users may terminate their account at any time, typically through account settings or by contacting support.
10.2 Termination by Quot: Quot may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent or illegal activities, or for any other reason deemed necessary by Quot.
10.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, governing law) shall survive.
10.4 Data After Termination: Explain data retention policy post-termination (e.g., data deletion schedule, retention for legal compliance).
11.0 Governing Law and Dispute Resolution
11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
11.2 Amicable Resolution: Parties agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Service through good faith negotiations.
11.3 Jurisdiction: If disputes cannot be resolved amicably, they shall be submitted to the exclusive jurisdiction of the courts located in Lagos, Nigeria.
12.0 Changes to These Terms
- Quot reserves the right to modify or replace these Terms at any time.
- We will provide reasonable notice (e.g., 30 days) of any material changes via email or prominent notice within the Service.
- Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
13.0 Miscellaneous
13.1 Entire Agreement: These Terms constitute the entire agreement between you and Quot regarding the Service.
13.2 Severability: If any provision is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
13.3 Assignment: You may not assign or transfer these Terms without Quot’s prior written consent. Quot may assign or transfer these Terms without restriction.
13.4 Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
